Our services are offered exclusively to businesses (entrepreneurs, companies and freelancers acting in their professional capacity). We do not conclude contracts with consumers. Deviating terms of a client apply only if we accept them in writing.
TERMS OF SERVICE
Terms of service.
The rules for using our website and working with PLAN OF ACTION S.R.L.
1. SCOPE
Who these terms apply to.
2. WEBSITE CONTENT
Information, not advice.
Content on this website, including blog articles, is general information and does not constitute legal, tax or individual business advice. We take care to keep it accurate and current but give no warranty for completeness or timeliness. External links lead to third-party content for which the respective operator is responsible.
3. CONTRACTS
How an engagement is formed.
Descriptions of services on this website are not binding offers. A contract is formed only through a written offer or engagement letter accepted by both parties, by email or signature. Scope, deliverables, fees, payment terms and timelines are defined in that agreement, which takes precedence over these terms.
4. NO GUARANTEE OF OUTCOME
Amazon decides.
For account or ASIN reinstatement, we prepare and advise on appeals and plans of action. The decision on reinstatement lies solely with Amazon. Likewise, we do not guarantee specific sales, rankings, market results or sourcing outcomes. Our services are services of means (obligație de mijloace), not of result, unless expressly agreed otherwise in writing. We are not affiliated with, endorsed by or acting on behalf of Amazon.com, Inc. or its affiliates.
5. CLIENT DUTIES
What we need from you.
Clients provide complete and truthful information and documents in good time. Clients remain responsible for the accuracy of information submitted to Amazon or other third parties and for compliance with marketplace policies. Never share account passwords with us; where access is needed, use Amazon's user permission features.
6. FEES AND PAYMENT
Invoices.
Fees are stated in the individual agreement, plus VAT where applicable. Invoices are payable within 14 days without deduction. Fees already paid for work performed are not refundable merely because Amazon or another third party reaches an unfavourable decision.
7. CONFIDENTIALITY
Your information stays protected.
Both parties treat confidential information received from the other as strictly confidential, also after the engagement ends. Personal data is processed in accordance with our privacy policy.
8. INTELLECTUAL PROPERTY
Rights in content.
All website content (texts, graphics, logo, videos) is protected by copyright and may not be reproduced without our consent. Deliverables created for a client may be used by the client for the agreed purpose once paid in full.
9. LIABILITY
Limits of liability.
We are liable without limitation for intent (dol) and gross negligence, and for injury to life, body or health. For slight negligence, we are liable only for breach of essential contractual obligations, limited to the foreseeable, typical damage and in any case to the fees paid under the respective engagement in the twelve months before the damaging event. Liability for indirect damage and lost profit is excluded to the extent permitted by law (Art. 1355 Romanian Civil Code). Mandatory statutory liability remains unaffected.
10. LAW AND JURISDICTION
Romanian law applies.
These terms and all contracts are governed by Romanian law, excluding the UN Convention on Contracts for the International Sale of Goods. The courts of Bucharest, Romania, have exclusive jurisdiction for disputes with businesses. Our services are not directed at consumers. We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration body.
11. FINAL PROVISIONS
Changes and severability.
We may amend these terms for the future; the version valid at the time a contract is concluded applies to it. If any provision is invalid, the remaining provisions remain effective. Version: 31 October 2026.
